A few months ago, I got to help structure an acquisition deal for our company that ultimately fell through. This post is about some of the ways I learned that employees can get a raw deal in such an acquisition.

My main takeaway was “work for people you trust or assume equity is worth nothing”. Upon an acquisition, equity value is more opinion than fact and you want someone with scruples negotiating on your behalf.
